A settlement agent — also called a closing agent, escrow agent, or closing officer — is the neutral third party who oversees the closing of a real estate transaction from start to finish. The agent serves all parties impartially, with a fiduciary duty to handle documents and funds properly. In most transactions, the settlement agent is affiliated with the title company; in some states, an attorney fulfills this role.

The settlement agent's responsibilities are extensive. Before closing: ordering the title search, reviewing the title commitment, preparing closing documents, coordinating with the lender (receiving closing instructions, reviewing loan documents), ordering payoff statements from the seller's existing lender, obtaining estoppel letters from the HOA, and calculating prorations. At closing: verifying identities, overseeing document execution, collecting funds (wire transfers, cashier's checks), and ensuring all conditions are met. After closing: recording the deed and mortgage, disbursing funds, sending payoffs, and issuing the title insurance policy.

The settlement agent must follow the closing disclosure precisely — disbursing the exact amounts to the correct parties as shown on the settlement statement. Any deviation requires written consent from all parties. The agent cannot favor one party over another, cannot provide legal advice, and cannot make independent decisions about how funds should be allocated.
